LEGAL NOTICE
TERMS AND CONDITIONS FOR YO.BAZAR’s USERS

This Legal Notice regulates the access and/or use by you as a User[1] of the services offered by
YONDER MEDIA MOBILE MÉXICO, S. DE R.L. DE C.V., and the use of its Website and/or
Mobile App in the YO.BAZAR section (hereinafter “YO.BAZAR”).

The access and use of the Website and/or the Mobile Application of YO.BAZAR and/or the
purchase of any of the services and products by YO.BAZAR through third parties, entails your
express acceptance of these Terms and Conditions, by declaring that you are of legal age, that
you have the legal capacity to enter into a contract and to accept and comply with the
obligations contained in these Terms and Conditions, in accordance with its respective Privacy
Notice, which entails how your personal data is collected and used to determine some of the
advertisements you see and to provide the other services described below.

1. YO.BAZAR (MARKETPLACE).

YO.BAZAR’s goal is to create communities from the Global YO application, to make the world a
more connected place, operating as a platform in which different stores and brands can offer
their products and services, through videos, photos and a friendly marketplace, for which we
make it available to Users, included and offered within YO.BAZAR.

You may choose and purchase the products and services you want, among the different options
of brands and sellers offered by YO.BAZAR, in the understanding that YO.BAZAR is not the
seller and only serves as an intermediary between you and the different sellers that are
published within YO.BAZAR.

All products and services offered on the Website and/or Mobile App in the YO.BAZAR or
MARKETPLACE section will be provided by a third party (the “Seller”).

When you choose to purchase any of YO.BAZAR’s services or products, such services or
products shall be subject to the fees and conditions of the Seller, for which YO.BAZAR shall
have no responsibility or liability for the prices published by the Seller.

You are obliged to pay the prices established for the Seller’s services and/or products, and to
ensure that your card is charged correctly.

The acquisition of the Seller’s services and/or products within YO.BAZAR, as well as the act of
clicking the “accept” button, entering the payment details or purchasing any product or service
offered by YO.BAZAR provided through the Seller, implies the express acceptance of these
Terms and Conditions and specifically of this section, as well as the terms and conditions of the
Seller and the corresponding Privacy Notice for both.

1.2 Changes on services and products.

YO.BAZAR reserves the right to modify the Sellers, promotions, contents, products and services
offered through YO.BAZAR, as well as to temporarily or permanently suspend such services,
being sufficient to update them without prior notice. It shall be the obligation of each User to be
aware of the services, promotions and packages that YO.BAZAR may offer according to their
interests.

1.3 Commitment.

YO.BAZAR makes these services available to you and others in order to fulfill our purpose. In
return, you must commit to the following: (I) that you are 18 years old or older, or (II) 13 years of
age or older, with legal guardian/parental consent or an emancipated minor; and that you have
the capacity to enter into this agreement and use YO.BAZAR in accordance with all the terms
and conditions contained herein.

2. PAYMENTS.

By purchasing any service or product offered in YO.BAZAR, you agree to be bound by the
terms and conditions imposed by the purchase, including but not limited to, payment of all
amounts, due in compliance with any rules and restrictions applicable to the availability of fees,
products or services, and taxes, as well as the shipping and other expenses generated by your
purchase.

2.1 Financial Obligations.

You will be fully responsible for all charges, fees, duties, taxes, and assessments from
the purchase of the services and/or products you purchase. You accept full and complete
responsibility for all charges.

Each Seller may have its own return and exchange policy, however, there will be no refunds or
partial refunds by YO.BAZAR; once acquired any product or service, it will be resolved between
the corresponding Seller and the User.

2.2 Prices.

YO.BAZAR along with the Sellers, reserves the right to make changes in prices, make
promotions for your benefit or any other action it deems necessary. Promotions, discounts or
offers are not retroactive and will apply only at the time of the corresponding purchase at the
times established in the same promotion.

3. USERS.

YO.BAZAR expressly reserves the right to accept or reject any purchase request from any
potential User, as well as to suspend its services to any User who fails to comply with this Legal
Notice or its internal policies.

YO.BAZAR may suspend its services to any User, without any liability, in the event that such
User has committed illegal activities under local law.

YO.BAZAR does not knowingly collect personally identifiable information from Users under 13
years of age. In the event that YO.BAZAR notices that it has collected any personal information
from a User under 13 years, the information will be identified and deleted from the database,
nevertheless YO.BAZAR shall not be liable for false statements on Users age.

4. REGISTRATION AND PERSONAL DATA.

4.1 Account.

In order to purchase in YO.BAZAR, each User will have to register and create an account
through the YO Website and/or Mobile App and enter the YO.BAZAR section and expressly
accept the company’s Privacy Notice, for which you must provide your personal data such as
full name, gender, date of birth, current address, email address and cell phone number; and
access credentials, consisting of a username and a password to access to your account.

You agree to use a secure and unique password to access your YO.BAZAR account in the
Website and/or Mobile App.

Reusing passwords may result in others being able to access to your account. You are
responsible for any use or misuse of your account or password. It is your obligation to
immediately notify YO.BAZAR of any breach of confidentiality or unauthorized use of your
information, login, or services account.

You agree to observe the following requirements and obligations during registration, as well as
during the use of YO.BAZAR’s services, Website and/or Mobile App:

Provide accurate and complete personal data at all times;
Keep the account information updated;
Be responsible for the safekeeping and conservation of your access credentials;
Do not allow the use of the Website and/or Mobile App to minors or other third parties;
as well as
Comply with applicable laws and regulations.

You agree to confirm the truthfulness and accuracy of the information provided, considering null
and void any contract in which you have provided false information. If you have created an
account with false information, you will be responsible for the consequences of such act.

4.2 Account Access.

Each User will be able to access its account simultaneously on different devices.

There is no limit of devices to access to an account, however, the media and the data
purchased can only be used on one device at a time. Therefore, in case you are connected on
more than one device, you will be notified, and in case of accepting such message, you will be
transferred to the media of the device currently being used.

4.3 Privacy Notice.

YO.BAZAR will maintain, protect and use your information in the Privacy Notice found on its
Website and/or Mobile App.

YO.BAZAR undertakes to maintain the confidentiality of the information it receives from you in
accordance with the applicable legal provisions. YO.BAZAR, may retain, use, share and access
any information it collects about you if it believes, in good faith, that the law requires or permits it

YO.BAZAR shall be the owner of all data related to the Website and/or Mobile App, the data
submitted may not be obtained or traded by you.

5. NOTIFICATIONS.

By accepting these Terms and Conditions, you authorize YO.BAZAR to send notifications that
may be canceled at any time. Such notifications are issued merely for the purpose of
communication and information about the products and services contracted through
YO.BAZAR’s Website and/or Mobile App to notify the delivery, or for your entertainment.

All notifications issued by YO.BAZAR, may be through its Website and/or Mobile App, push
notifications, or by SMS to the phone number that you entered in your account, including,
without limitation, notifications about the remaining data available.

6. SHIPPING.

YO.BAZAR is not responsible at any time for the effective delivery of the products and/or
services offered by the Seller through YO.BAZAR. All costs, claims, requests, complaints and
suggestions shall be submitted and communicated directly between the Seller and you.

7. CANCELLATIONS.

You will not be able to cancel your purchase through YO.BAZAR, in case of requiring changes
or refunds or the cancellation of any product, you must contact directly with the corresponding
Seller.

After the effective cancellation you will not receive any further services from YO.BAZAR or the
Seller.

8. PUBLICITY MATERIAL.

You acknowledge and agree that YO.BAZAR, may have sponsors and advertisers whose
information, images, advertisements, and other materials (hereinafter referred to as “Advertising
Material”) may be posted on the Website and/or Mobile App. You acknowledge and agree that
the Advertising Material is protected by applicable intellectual property and Copyright laws.

YO.BAZAR confirms that, its will is to carry out the best commercial practices; however the
information, images, advertisements and/or any other material published by Sellers on the
Mobile App and/or Website, shall be the sole responsibility of such Sellers and, in the event of any disagreement by you, regarding such content, you should address it exclusively to the
Seller in question.

9. CONNECTION RULES AND CONTENT.

To use the Website and/or Mobile App, you must always be connected to high-speed Internet,
and have a device compatible with YO.BAZAR’s services, otherwise the information of the
Sellers, products and services will not load correctly; the quality of the content may vary
depending on the device, configuration and quality of the network.

Likewise, if your device is disconnected from the internet, you will not be able to use all
functionalities related to the Website and/or Mobile App, and you will not be able to purchase
any service or product through YO.BAZAR.

YO.BAZAR assumes no responsibility for any malfunction caused by misuse or tampering with
the Website and/or Mobile App. Certain features, content or services may be unavailable or
different, depending on time, region, geographic location, device and account settings.

10. GENERAL INFORMATION ABOUT YO.BAZAR, THE WEBSITE AND/OR MOBILE APP.

YO.BAZAR and its affiliates, subsidiaries and other related entities, as well as each of their
officers, directors, agents and employees, shall not be liable for: breakdowns, failures, delays or
difficulties in cell phones, electrical and electronic devices, computers or computer components
or software, or any other devices used to access and/or use the Website and/or Mobile App.

Nor shall they be responsible for mail, e-mail, form submissions, connections, messages or data
captures that have been delayed, lost, stolen or any of the foregoing, if found to be illegible,
incomplete, garbled, misdirected, mutilated or with insufficient postage, or for the security of any
of the foregoing.

YO.BAZAR and its affiliates, subsidiaries and other related entities, as well as each of their
officers, directors, agents and employees shall not be liable for the erroneous or inaccurate capture of information, whether caused by internet users in general, or by any element of the
equipment or programming associated with or utilized on the Site or for any technical or human
error that may occur during the processing of information related to the Website and/or the
Mobile App.

All trademarks, logos, designs and any other model or design, are the exclusive property of
YO.BAZAR, so it is expressly forbidden to occupy, exploit, reproduce or make use of any data,
logo, content, information, or analogues of YO.BAZAR without its consent. YO.BAZAR is not
responsible for the misuse that third parties may give to their intellectual property without its
consent.

If for any reason any section or part of the YO.BAZAR’s Website and/or Mobile App, does not
function as intended, including in the event of infection by computer virus, bugs, unauthorized
intervention, fraud, technical failures or any other cause beyond YO.BAZAR’s reasonable
control, which corrupts or affects the administration, security, fairness, integrity or proper
conduct of the site, YO.BAZAR reserves the right (but not the obligation) in its sole discretion to
prohibit any individual (including the individual’s information) from using the Website and/or
Mobile App and may also cancel, terminate, modify or suspend the site or any section of the
Website and/or Mobile App and void such information.

YO.BAZAR and its affiliates, subsidiaries and other related entities including each of their
officers, directors, agents and employees shall not be responsible or liable in any way for any
damage, loss, or harm to your Data Capturing Device, nor for the interception or use of credit
card information that is related to or that results from the use of the Website, or any websites,
services or materials linked to or related to YO.BAZAR’s services. Nor, YO.BAZAR shall be
responsible or liable in any way for any damages, losses or claims related to or resulting from
this Website, whether operating on computers or networks used by you, capturing information or
communicating with such computers or networks.

11. THIRD PARTIES.

The Services may contain links to third parties’ content and integrations with third parties
outside of YO.BAZAR, such as Sellers, advertisers, game developers, social networking sites
and/or any other external parties to the Website and/or Mobile App.

Therefore, YO.BAZAR does not have and accepts no responsibility or liability for any damage or
loss that may arise from any activity and/or use of third parties’ content and integrations outside of YO.BAZAR. The links and integrations are provided solely as an advertisement or
convenience, and it is entirely up to you whether to use the links or not, visit the sites and
conduct any activities within the sites, and YO.BAZAR makes no representations or warranties
with respect to any third parties’ links and integrations.

You hereby acknowledge that the use of any link of third parties’ content and integrations is at
your own risk and subject to the terms of use of such third parties’ content, and YO.BAZAR has
no liability whatsoever, therefore.

12. GENERAL CONDITIONS.

No general or specific condition communicated by you may be integrated into the present
conditions of this Legal Notice.

You may not hold YO.BAZAR liable for any actions, proceedings, losses, claims, expenses,
damages or liabilities arising out of or resulting from the provision of the services or products
that YO.BAZAR offers, nor for the services that YO.BAZAR offers as an additional and optional
service on its Website and/or Mobile App.

The failure of YO.BAZAR, its affiliates or suppliers to exercise any right or action under these
Terms and Conditions shall at no time be construed as a waiver of such rights or actions.

YO.BAZAR may, at any time, if it deems appropriate, assign all or part of its rights and
obligations, subject to the authorizations of the appropriate authorities. By virtue of the same,
YO.BAZAR shall release from any obligation in favor of the User, under the terms of these
Terms and Conditions.

13. EXTRAORDINARY EVENTS.

The User agrees and acknowledges that YO.BAZAR is not liable for any loss caused directly or
indirectly by extraordinary events or conditions beyond its control, Such events include, but are
not limited to, governmental actions, stock exchange or market decisions, and applicable trading
suspensions.

14. CHANGES TO THE LEGAL NOTICE.

YO.BAZAR reserves the right to change this Legal Notice at any time without prior notice other
than an update on YO.BAZAR’s Website; such changes shall be effective immediately.

By using, viewing, transmitting, hiding, storing and/or otherwise using YO.BAZAR’s services,
you have agreed to accept any, and all Terms and Conditions described in this Legal Notice,
and you hereby waive any right to claim the existence of ambiguities or errors in this notice.
Please print and retain a copy of this Legal notice at your convenience.

If you do not accept this agreement, we recommend you not to contract the service or purchase
any of YO.BAZAR’s packages. If you do not fully and completely agree with any of these Terms
and Conditions, you are not permitted to use YO.BAZAR’s services and you must refrain from
accessing, using, and observing the Website and/or Mobile App.

15. APPLICABLE LAW AND JURISDICTION.

For the purpose of these Terms and Conditions, any claim, action or dispute arising out of or in
connection with them, you and YO.BAZAR agree that it shall be resolved exclusively in the
Courts of Mexico City, Mexico.

This Legal Notice regulates the access and/or use by you as a Seller of your services and/or
products through YONDER MEDIA MOBILE MÉXICO, S.R.L. DE C.V. as an intermediary in
YO.BAZAR (hereinafter referred as “YO.BAZAR”).

The access and use of YO.BAZAR and/or the sale of any of your services and/or products
offered on YO.BAZAR, entails your express acceptance of these Terms and Conditions, declaring that you are of legal age, that you have the legal capacity to contract and that you
accept and comply with the obligations contained in these Terms and Conditions in accordance
with its respective Privacy Notice.

1. ABOUT YO.BAZAR (MARKETPLACE).

YO.BAZAR’s goal is to create communities from the Global YO application, to make the world a
more connected place, operating as a platform in which different stores and brands can offer
their products and services, through videos, photos and a friendly marketplace, so we make
available to various Sellers the platform to advertise and sell their products, as expressed
below:

1.1. Of the Sellers.

You may advertise and sell products and services through YO.BAZAR to different Users; in the
understanding that YO.BAZAR is not the end User and only acts as an intermediary between
you and the different Users or Customers who buy within YO.BAZAR.

All products and services offered on the Website and/or Mobile App in the YO.BAZAR or
MARKETPLACE section will be provided by third parties unrelated to YO.BAZAR (the “Seller”).

1.2 Services and Products.

The services and products allowed for advertising and sale within YO.BAZAR are limited to the
following: clothing, art (owned or licensed), accessories, personal care, shoes, technology,
event tickets, crafts, and food.

YO.BAZAR reserves the right to disallow or cancel any Seller caught selling or advertising illicit,
stolen, unlicensed or unattended products and/or services, among others, at YO.BAZAR’s
discretion.

1.3 Commitment.

YO.BAZAR expressly reserves the right to accept or reject any application from any potential
Seller, as well as to suspend its services to any Seller that fails to comply with this Legal Notice
or its internal policies.

YO.BAZAR may suspend its services to any Seller without any liability, in the event that such
Seller has committed illegal activities according to local legislation.

YO.BAZAR will not knowingly collect personally identifiable information from Sellers under the
age of 13. In the event that YO.BAZAR becomes aware that it has collected any personally
identifiable information from a Seller under the age of 13, the information will be identified and
removed from the database, however, YO.BAZAR shall not be liable for misrepresentation of
the Seller’s age.

YO.BAZAR Website and/or Mobile App and enter the YO.BAZAR section expressly accepting

Each Seller shall provide the corresponding information to prove ownership of the brands
advertised through YO.BAZAR and to demonstrate and corroborate the authenticity of their
products. YO.BAZAR is not responsible in any case for the misuse of the platfom.

You agree to use a secure and unique password to access your YO.BAZAR account in the
Website and/or Mobile App.

Reusing passwords may result in others being able to access to your account. You are
responsible for any use or misuse of your account or password. It is your obligation to
immediately notify YO.BAZAR of any breach of confidentiality and unauthorized use of your
information, login, or services account.

YO.BAZAR shall be the owner of all data related to the Website and/or Mobile App, the data
submitted may not be obtained or traded by you.

3. ADVERTISING OF PRODUCTS AND SERVICES AND INTELLECTUAL PROPERTY
RIGHTS.

Each Seller shall be responsible for directly uploading its products and/or services sold through
YO.BAZAR, uploading images, description, characteristics and all the required data in the fields
of the same application. YO.BAZAR shall not be responsible for improperly uploaded images,
the quality of the images, the accuracy of the descriptions, or any information regarding the
Seller, its products and/or services.

Each Seller shall have the right to make live broadcasts through YO.BAZAR, during which you
may promote your products, boost your sales, however, you must give notice and set aside the
expected time for such transmissions respecting the time and moment of the other Sellers. The
live transmissions indicated herein are unlimited and are not mandatory for Sellers, always
respecting the guidelines of these Terms and Conditions.

YO.BAZAR reserves the right to remove any content that in its sole discretion is abusive or
inappropriate, as well as to suspend the sale of any Seller’s services or products at its sole
discretion and without liability.

Each Seller must prove to be the owner of the trademark(s) advertised on YO.BAZAR or, as the
case may be, the authorization for its use thereof. The Seller shall indemnify and hold
YO.BAZAR harmless from any claim that may arise against it for violation of third parties’ rights,
being the responsibility of each Seller the content that enters within YO.BAZAR.

4. PRICES AND PAYMENTS.

By selling any service or product offered within YO.BAZAR, you agree to be bound by the
Terms and Conditions imposed by the sale, including, but not limited to, payment of all amounts
due in compliance with the regulations and restrictions applicable to the availability of rates,
products or services, and taxes, as well as shipping and other expenses that may be generated.

4.1 Prices.

Each of the Sellers shall be responsible for establishing the prices of the products and services
offered within YO.BAZAR.

YO.BAZAR reserves the right to make changes in prices, make promotions on your behalf or
any other action it deems necessary. Promotions, discounts or offers are not retroactive and
shall apply only at the times established in the same promotion, and must be respected by the
Seller at all times.

4.2 Payments.

Each User, when buying within YO.BAZAR will pay directly to YO.BAZAR the total charge of the
sale and the shipment; and subsequently YO.BAZAR will pay the Seller for the products or
services actually sold, once it is confirmed that it has been delivered to the end User.

The aforementioned payments shall be made on the 15th (fifteenth) day of each month, if
applicable, taking into account all sales made and confirmed for delivery, from the 1st day of
the month to the 30th or 31st of the month, as the case may be.

4.3 Commissions.

YO.BAZAR shall retain a 10% (ten percent) commission on each sale made through
YO.BAZAR; the Seller expressly agrees that such commission shall be deducted before any
payment is made in accordance with point 4.2.

Sellers who join the launch of YO.BAZAR, will not be charged any commission during the first 3
(three) months; thereafter they will be charged the commission described above.

5. SHIPMENT AND QUALITY OF PRODUCTS.

YO.BAZAR is not responsible at any time for the effective delivery of the products and/or
services offered by the Seller through YO.BAZAR. All costs, claims, requests, complaints and
suggestions must be delivered and communicated directly between the Seller and the
corresponding User.

Likewise, YO.BAZAR shall not be liable at any time for the quality of the services and products
sold, and the Seller shall release YO.BAZAR from any claim that may exist against it.

6. PUBLICITY MATERIAL.

The Seller acknowledges and agrees that YO.BAZAR, may have sponsors and advertisers
whose information, images, advertisements and other materials (hereinafter referred to as
“Advertising Material”) may be published on the Website and/or Mobile App. You acknowledge
and agree that the Advertising Material is not part of the content published on the Website
and/or Mobile App. You also acknowledge and agree that this Advertising Material is protected
by applicable intellectual property laws.

YO.BAZAR confirms its willingness to carry out the best commercial practices; however, the
information, images, advertisements and/or any other material published by the Sellers on the
Website and/or Mobile App, shall be the sole responsibility of such Sellers and, in case of any
disagreement on your part regarding such contents, you should address exclusively to the
Seller in question.

7. NOTIFICATIONS.

By accepting these Terms and Conditions, you authorize YO.BAZAR to send notifications that
may be canceled at any time. Such notifications are issued merely for the purpose of
communication and information about the products and services contracted through
YO.BAZAR’s Website and/or Mobile App, to notify the delivery, or for your entertainment.

All notifications issued by YO.BAZAR, may be through its Website and/or Mobile App, push
notifications or by SMS to the phone number that you entered in your account, including, without
limitation, notifications about the remaining data available.

8. CONNECTION AND CONTENT RULES.
